Merchant Gift Registry Agreement Terms and Conditions: Merchant Gift Registry Agreement Terms and Conditions This Agreement constitutes the entire and complete agreement and understanding between you (the “Merchant”) and Felicite.com, Inc., (“Felicite”) and supersedes all prior or contemporaneous written or oral agreements or representations between us. 1. GIFT REGISTRY TECHNOLOGY: Felicite agrees to supply gift registry technology including links,URLs, passwords, and code segments (the “Technology”) to the Merchant, enabling its customers to register a list of preferred gifts for friends to view and purchase. Felicite shall display the gift list on-line, collect and consolidate payments and then send the completed orders to the Merchant for delivery or pick-up. Felicite shall also provide technology that allows Merchants to set up and administer registries for in-store customers and for updating the registry with in-store purchases. 2. MERCHANT ORDERS: Felicite shall send each completed order (the “Order” or “Orders”) to the Merchant via a web-based interface or by other mutually agreeable means. The merchant agrees to fulfill each order to the best of its ability. If a merchant is unable to fulfill the order within a reasonable amount of time, the Merchant shall notify the gift recipient of the delay, and give the gift recipient the opportunity to wait, substitute a different gift or request a refund. If a credit card refund is required, the Merchant shall notify Felicite via the refund request form and Felicite agrees to issue the credit card refund promptly. Merchant agrees to pay any fees associated with the credit card refund. 3. MERCHANT PAYMENT: Felicite shall send a check to the Merchant during the first week of each month for all orders shipped by the Merchant in the previous calendar month. The payment shall include all amount collected by Felicite on behalf of the merchant less Commissions and Fees. 4. COMMISSION: The Commission shall be equal to 5.9% of the total value of each Order processed by Felicite on behalf of the Merchant, including shipping and taxes. The minimum commission each month shall be zero. 5. SET-UP AND HOSTING FEES: The one-time Set-Up Fee is $199. This covers the cost of setting up an account for the Merchant on Felicite’s system. The Optional one-time Private-Label Fee is $100. This covers the installation of the Merchant’s Logo and color scheme on all gift registry pages. The Hosting Fee is zero. 6. RETURNS: Customers shall send returns directly to the Merchant, who agrees to make all reasonable efforts to satisfy the return request consistent with its return policy. If a credit card refund is required, the Merchant shall fill out the on-line refund request form and Felicite shall credit the credit card promptly. Any credit card refund and associated Fees shall be deducted from the Merchant’s account. 7. SHIPPING AND SALES TAX: Merchant agrees to furnish Felicite with shipping and sales tax schedules (the “Schedule”). The Schedule will be used to calculate shipping and tax charges. Merchant agrees that it is solely responsible for notifying Felicite of any changes in shipping and tax rates and Felicite shall not be responsible for any over or under charging due to merchant’s failure to notify Felicite. 8. TRANSACTION FEE: The Transaction Fee covers the cost of processing credit card transactions online and shall be equal to 3.7% of the total value of the transaction, including shipping and taxes. The Transaction Fee shall also apply to any refunds Felicite makes on behalf of the Merchant. The Merchant agrees to indemnify Felicite for any fees associated with refunds or chargebacks in connection with each transaction. 9. TERM: This agreement shall be valid from the date of execution until terminated. Either party may terminate this agreement at any time without prejudice by giving 30 days written notice. 10. LIMITATION OF LIABILITY: The Technology is provided AS IS, without any warranties. Felicite, its directors, officers, employees, agents, successor and assigns shall not be liable for any damages, actual or consequential, arising out of the use of the Technology. 11. WAIVER: The waiver by either party of a breach of any provision of this agreement by the other party shall not be construed as a waiver of any subsequent breach by such other party. 12. SEVERABILITY: If any part of this agreement is invalid or unenforceable under any applicable law,such event shall not render invalid or unenforceable the remainder of this agreement. 13. CONFIDENTIALITY: The Merchant acknowledges and agrees that this Agreement and the Technology is proprietary and confidential and therefore shall take reasonable care to safeguard its confidentiality. The Merchant, its employees, contractors and directors, may not disclose or utilize the Technology without Felicite’s written permission. The Merchant may not disclose the terms of this Agreement to third parties without Felicite’s written permission. Upon termination of this Agreement the Merchant agrees to remove all Technology from its web site and to delete, destroy or return the Technology in its possession. 14. INDEPENDENT ENTITIES: Felicite and the Merchant are independent entities, and nothing in this Agreement shall create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. The Merchant has no authority to make or accept any offers or representations on Felicite’s behalf. == End of the Terms and Conditions == I, the undersigned, have read, understand and agree to all of the above terms and conditions. I have independently evaluated the desirability of participating in this program and am not relying upon any representation, guarantee or statement other than as set forth in this Agreement. I have the authority to sign and enter into this Agreement on behalf of the Merchant.
